1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("Customer," "User," or "you") and Zonitel Solutions LLC ("Zonitel," "we," "us," or "our"), a Texas limited liability company. By accessing or using any of Zonitel's products, services, platforms, or websites — including but not limited to our Business VoIP phone system, SMS/MMS messaging, digital fax, AI call analytics, live call panel, and smart calendar features (collectively, the "Services") — you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or the business entity you represent in order to use our Services. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

Your access to or use of the Services — including clicking "I Agree," completing account registration, or simply continuing to use the Services after any posted update to these Terms — constitutes your full and unconditional acceptance of these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Services and contact us to close your account.

2. Description of Services

Zonitel Solutions LLC provides cloud-based, SIP (Session Initiation Protocol)-based unified communications services designed for businesses of all sizes. Our platform delivers enterprise-grade telecommunications capabilities through a secure, internet-connected infrastructure without requiring traditional on-premise phone hardware. The Services currently include, but are not limited to:

  • Business VoIP Phone System: Cloud-hosted voice-over-IP calling with support for desk phones, softphones, and mobile applications. Includes call routing, IVR (Interactive Voice Response), auto-attendant, voicemail-to-email, call queues, hunt groups, and conference calling.
  • SMS/MMS Messaging: Two-way business text messaging for customer engagement, notifications, appointment reminders, and campaigns, subject to applicable carrier and TCPA regulations.
  • Digital Fax: Send and receive faxes electronically via email or the Zonitel web portal, eliminating the need for physical fax machines while maintaining compatibility with traditional fax infrastructure.
  • AI Call Analytics: Artificial intelligence-powered tools for call transcription, sentiment analysis, keyword detection, call scoring, and performance reporting to help businesses optimize customer interactions.
  • Live Call Panel: A real-time dashboard enabling supervisors and managers to monitor active calls, barge in (where legally permitted and with proper notifications), whisper coach agents, and view live call metrics.
  • Smart Calendar: Integrated scheduling and appointment management tools that connect with your communications workflow, enabling automated reminders, callbacks, and meeting coordination.

Zonitel reserves the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice. We may also introduce new features or services, which shall be governed by these Terms unless otherwise specified. Services are provided on a subscription basis and are subject to the availability of adequate internet connectivity and compatible equipment on the customer's end.

3. Account Registration & Responsibilities

To access most of our Services, you must create an account. During registration, you agree to provide accurate, current, and complete information about yourself and your business. You further agree to maintain and promptly update your account information to keep it accurate, current, and complete. Providing false, misleading, or incomplete information is a violation of these Terms and may result in immediate account suspension or termination.

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify Zonitel immediately at info@zonitel.com of any unauthorized use of your account or any other breach of security. Zonitel will not be liable for any loss or damage arising from your failure to protect your account credentials.

Each business entity is permitted to maintain one active account unless otherwise expressly authorized by Zonitel in writing. Accounts are non-transferable and may not be sold, assigned, or otherwise transferred to any third party without Zonitel's prior written consent. You are responsible for all activity that occurs under your account, whether or not you authorized such activity. All users added to your account by your administrators are subject to these Terms, and you are responsible for ensuring their compliance.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are solely responsible for all content you transmit, store, or receive through the Services, including voice calls, text messages, faxes, and any other communications. Zonitel's Services are intended for legitimate business communications only.

The following uses are strictly prohibited:

  • Initiating, facilitating, or enabling automated dialing, robocalling, or predictive dialing campaigns without proper prior express written consent from all recipients as required by the TCPA and applicable state laws.
  • Engaging in telemarketing activities in violation of the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), or any applicable state telemarketing statutes.
  • Sending unsolicited commercial fax transmissions ("fax spam") in violation of the Junk Fax Prevention Act or any applicable regulations.
  • Sending unsolicited bulk SMS or MMS messages ("SMS spam") or messages to individuals who have not opted in or who have previously opted out.
  • Transmitting, storing, or receiving any content that is illegal, obscene, defamatory, threatening, harassing, fraudulent, or that infringes on any third party's intellectual property or privacy rights.
  • Using the Services to conduct phishing, vishing, smishing, or any other fraudulent scheme designed to deceive individuals into providing personal or financial information.
  • Generating excessive usage that degrades network performance or interferes with other customers' service. Accounts generating more than 5,000 minutes per month on certain plan tiers may be subject to usage review, additional charges, or plan upgrade requirements.
  • Reselling, sublicensing, or otherwise providing access to the Services to third parties without Zonitel's prior written authorization. Unauthorized resale or white-labeling of Zonitel's Services is a material breach of these Terms.
  • Attempting to gain unauthorized access to Zonitel's systems, networks, or other customers' accounts, including through hacking, password mining, or any other means.
  • Using the Services to facilitate or support any activity that violates applicable federal, state, or local laws or regulations.

Zonitel reserves the right to investigate suspected violations of this Acceptable Use Policy. If Zonitel determines, in its sole discretion, that a violation has occurred or is imminent, Zonitel may suspend or terminate your account immediately, report the activity to law enforcement or regulatory authorities, and cooperate fully with any resulting investigation. You may be held financially liable for damages caused by your violation of this policy.

5. TCPA Compliance

The Telephone Consumer Protection Act (47 U.S.C. § 227) and its implementing regulations (47 C.F.R. § 64.1200) impose strict requirements on the use of automated telephone dialing systems, prerecorded voice messages, SMS/text messaging, and fax transmissions for marketing and informational purposes. As a user of Zonitel's Services, you are solely and exclusively responsible for your own compliance with the TCPA and all related federal and state laws and regulations.

Your TCPA compliance obligations include, without limitation:

  • Maintaining accurate and up-to-date internal Do-Not-Call (DNC) lists and honoring all opt-out requests promptly (within 30 days for DNC requests).
  • Scrubbing your calling and messaging lists against the National Do Not Call Registry before initiating any outbound marketing calls or messages.
  • Obtaining prior express written consent (as defined under FCC regulations) from all recipients before sending any marketing text messages, automated calls, or AI-generated communications to mobile numbers.
  • Ensuring that any automated or AI-powered messaging or calling features offered by Zonitel are used only in compliance with applicable consent requirements.
  • Complying with time-of-day restrictions (generally 8 a.m. to 9 p.m. local time of the called party) for telemarketing calls and messages.
  • Providing required disclosures and identification in all marketing communications.

Zonitel provides communication tools only. We do not review, approve, or monitor the content of your communications or the composition of your contact lists. Zonitel is not liable for any TCPA violations, fines, penalties, class action claims, or regulatory actions arising from your use of the Services. You agree to indemnify, defend, and hold Zonitel harmless from and against any claims, damages, fines, or expenses (including reasonable attorneys' fees) arising out of or related to your failure to comply with the TCPA or any other applicable telecommunications law or regulation. TCPA violations can result in statutory damages of $500 to $1,500 per violation, and Zonitel strongly recommends that you consult with qualified legal counsel regarding your compliance obligations.

6. Service Availability & SLA

Zonitel targets a monthly uptime availability of 99.9% for its core VoIP and communications platform, measured on a calendar-month basis excluding scheduled maintenance windows. This target represents Zonitel's commercially reasonable commitment to service reliability and is not a guarantee of uninterrupted or error-free service. Actual uptime performance may vary based on factors including, but not limited to, internet connectivity issues on your end, third-party carrier network disruptions, natural disasters, or other force majeure events.

Zonitel will use commercially reasonable efforts to provide advance notice of scheduled maintenance windows that may cause service interruptions. Scheduled maintenance will generally be performed during off-peak hours (typically between 1:00 a.m. and 5:00 a.m. Central Time). Unplanned outages or maintenance required to address urgent security or stability issues may occur without advance notice. Zonitel will communicate status updates through its service status page and, where practical, via email notification to account administrators.

Zonitel does not guarantee that the Services will be available at all times, free from errors, viruses, or other harmful components, or that defects will be corrected. Service credits or remedies for downtime, if any, are governed by the applicable Service Level Agreement addendum or order form associated with your account. In the absence of a separate SLA addendum, the remedies set forth in these Terms and Zonitel's standard service credit policy shall apply. Requests for service credits must be submitted within 30 days of the incident giving rise to the credit request.

7. E911 Emergency Services

Zonitel provides Enhanced 911 (E911) services as required by FCC regulations; however, VoIP-based E911 service has important limitations that differ significantly from traditional landline 911 service. You must understand these limitations before using Zonitel's Services as your primary or sole means of telephone communication.

Key E911 limitations and requirements include:

  • Address Registration Required: You must register a valid physical service address with Zonitel for each VoIP number used. This address is transmitted to the Public Safety Answering Point (PSAP) when you dial 911. You are responsible for keeping this address current whenever your physical location changes.
  • Portable Device Risk: If you use a softphone, mobile application, or other portable device to access Zonitel's Services from a location other than your registered address, 911 dispatch may be routed to the wrong PSAP or receive an incorrect location.
  • Internet Dependency: E911 calls through Zonitel require a functioning internet connection and power supply. During internet outages, power failures, or network disruptions, you will not be able to reach 911 through the Zonitel platform.
  • Backup Recommended: We strongly advise all customers to maintain an alternative means of reaching emergency services — such as a charged mobile phone — in the event that the Zonitel service is unavailable.
  • Notification of Users: You are responsible for informing all individuals who may use your Zonitel-connected phones (including employees, visitors, and tenants) of the limitations of VoIP E911 service.

By using Zonitel's Services, you acknowledge and accept these E911 limitations. Zonitel shall not be liable for any inability to reach emergency services through the platform, for any damages arising from E911 service failures, or for any harm resulting from delayed, misdirected, or failed emergency response due to VoIP limitations.

8. CPNI (Customer Proprietary Network Information)

As a provider of telecommunications services, Zonitel is subject to federal regulations governing Customer Proprietary Network Information (CPNI) as set forth in Section 222 of the Communications Act (47 U.S.C. § 222) and 47 C.F.R. Part 64, Subpart U. CPNI is information that relates to the quantity, technical configuration, type, destination, location, and amount of use of telecommunications services subscribed to by a customer, as well as information contained in bills pertaining to those services. CPNI does not include the content of your communications.

Zonitel uses CPNI for the following purposes:

  • To provision, maintain, repair, and bill for the telecommunications services you have subscribed to.
  • To provide you with information about your service usage, account activity, and billing.
  • To protect you and other customers from fraudulent use of telecommunications services.
  • With your approval, to market additional Zonitel services that may be relevant to your account.

Zonitel will not use, disclose, or permit access to your CPNI for any purpose other than those described herein or as otherwise required by law without your prior express approval. You have the right to restrict Zonitel's use of your CPNI for marketing purposes. To exercise this opt-out right, please contact us at info@zonitel.com or call 833-966-4835. Your election to restrict or permit use of CPNI will remain in effect until you notify us of a change. Restricting use of your CPNI will not affect Zonitel's ability to provide you with the Services you have subscribed to.

9. Billing & Payments

Zonitel's Services are billed on a monthly subscription basis. By subscribing to a plan, you authorize Zonitel to automatically charge your designated payment method on a recurring monthly basis on or around the same calendar date each month (the "Billing Date"). Subscriptions auto-renew at the end of each billing cycle unless you cancel prior to the next Billing Date in accordance with the cancellation procedures set forth herein.

All fees are due and payable in advance and are non-refundable except as expressly stated in these Terms or required by applicable law. No refunds or credits will be issued for partial months of service, unused features, or early cancellation. If you upgrade or downgrade your plan mid-cycle, any applicable charges or credits will be prorated and reflected on your next invoice.

Zonitel reserves the right to modify its pricing and service fees. We will provide at least 30 days' advance written notice of any price increases via email to the address on file for your account. Your continued use of the Services after the effective date of the price change constitutes your acceptance of the new pricing. If you do not agree to the new pricing, you must cancel your account prior to the effective date of the price change.

If a payment fails for any reason — including insufficient funds, expired cards, or declined transactions — Zonitel will attempt to notify you and may retry the charge. If payment is not received within 10 days of the due date, Zonitel reserves the right to suspend your Services until payment is made in full, including any applicable late fees. Accounts suspended for non-payment for more than 30 days may be terminated, and any associated data may be deleted. You are responsible for all charges incurred on your account, including any applicable taxes, surcharges, regulatory fees, and pass-through carrier charges.

10. Equipment & Software

In connection with the Services, you may use or acquire hardware such as IP desk phones, routers, adapters, or other telecommunications equipment (collectively, "Equipment"). Unless Zonitel expressly provides Equipment to you under a separate lease or purchase agreement, you are solely responsible for obtaining, operating, maintaining, and securing all Equipment necessary to access and use the Services. Zonitel makes no representations or warranties regarding the compatibility, performance, or reliability of any third-party equipment used in connection with the Services.

Zonitel shall not be liable for any damage, loss, theft, or malfunction of your Equipment, including damage caused by power surges, internet outages, improper configuration, or unauthorized access. You are responsible for ensuring that your network infrastructure, including routers and firewalls, is properly configured to support VoIP traffic, including appropriate Quality of Service (QoS) settings.

Zonitel may provide you with access to proprietary software, web applications, mobile applications, or APIs as part of the Services (collectively, "Software"). Zonitel grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for the purpose of accessing and using the Services in accordance with these Terms. You may not copy, modify, distribute, sell, sublicense, reverse engineer, decompile, or disassemble any Software provided by Zonitel. This license terminates automatically upon the termination of your account or these Terms.

11. Intellectual Property

All intellectual property rights in and to the Services, including but not limited to software, source code, databases, algorithms, user interfaces, designs, text, graphics, logos, trademarks, and service marks (collectively, "Zonitel IP"), are and shall remain the exclusive property of Zonitel Solutions LLC or its licensors. Nothing in these Terms shall be construed as transferring or assigning any ownership rights in Zonitel IP to you.

You are granted only the limited license to use the Services as set forth in these Terms. Unauthorized use, reproduction, modification, distribution, or display of any Zonitel IP is strictly prohibited and may constitute trademark or copyright infringement, for which Zonitel may seek all available legal and equitable remedies.

You retain all ownership rights in the content and data you submit, transmit, or store through the Services ("Customer Content"). By using the Services, you grant Zonitel a limited, non-exclusive license to access, process, store, and transmit Customer Content solely to the extent necessary to provide the Services to you. Zonitel does not claim ownership of Customer Content and will not use it for any purpose beyond service delivery except as described in our Privacy Policy.

12. Confidentiality

Each party (as "Receiving Party") agrees to hold in strict confidence any non-public, proprietary, or confidential information disclosed by the other party (as "Disclosing Party") in connection with the Services ("Confidential Information"). Confidential Information includes, without limitation, pricing, technical documentation, account information, business strategies, and customer data. Each party agrees to use the other's Confidential Information solely to fulfill its obligations under these Terms and to disclose it only to employees or contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein.

These confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was already known to the Receiving Party without restriction prior to disclosure; (c) is received from a third party without restriction; or (d) is independently developed without reference to the Confidential Information. Confidential Information may be disclosed if required by law or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party (to the extent permitted by law) and cooperates with efforts to seek a protective order.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZONITEL SOLUTIONS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS;
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED TRANSCRIPTIONS, ANALYTICS, OR OTHER OUTPUTS;
  • WARRANTIES THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the foregoing disclaimers apply to the maximum extent permitted by applicable law. No advice or information, whether oral or written, obtained by you from Zonitel or through the Services shall create any warranty not expressly stated in these Terms.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZONITEL SOLUTIONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ZONITEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, ZONITEL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO ZONITEL IN THE ONE (1) CALENDAR MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the limitation of liability for consequential or incidental damages. In such jurisdictions, Zonitel's liability is limited to the maximum extent permitted by law. The limitations set forth in this section are a fundamental element of the basis of the bargain between Zonitel and you, and the Services would not be provided without such limitations.

15. Indemnification

You agree to indemnify, defend, and hold harmless Zonitel Solutions LLC and its officers, directors, employees, agents, contractors, licensors, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or relating to:

  • Your violation of any provision of these Terms;
  • Your violation of any applicable federal, state, or local law or regulation, including but not limited to TCPA violations, FCC regulations, or state telemarketing laws;
  • Your use of the Services in a manner not expressly authorized by Zonitel;
  • Any content you transmit, store, or receive through the Services, including claims of infringement, defamation, privacy violations, or harassment;
  • Any third-party claims arising from or related to your business operations or communications conducted through the Services;
  • Your gross negligence or willful misconduct.

Zonitel reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Zonitel's defense of such claims. You may not settle any claim that imposes any liability or obligation on Zonitel without Zonitel's prior written consent.

16. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Zonitel (a "Dispute"), the parties agree to first attempt to resolve the Dispute informally by contacting each other. If the Dispute is not resolved within 30 days of informal negotiation, either party may initiate binding arbitration.

All Disputes that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in English, in Harris County, Texas, unless the parties mutually agree otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. For any matters not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

17. Modifications to Terms

Zonitel reserves the right to modify these Terms at any time. When we make material changes to these Terms, we will provide you with at least 30 days' advance written notice via email to the address associated with your account, or by posting a prominent notice on our website at zonitel.com. We encourage you to review the updated Terms carefully. The date of the most recent revision will always be reflected in the "Last Updated" date at the top of this page.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services and notify Zonitel to close your account prior to the effective date of the changes. Changes to fees or pricing require 30 days' notice as described in Section 9 above.

18. Termination

Either party may terminate these Terms and the associated service subscription at any time by providing at least 30 days' written notice to the other party. You may cancel your account at any time through the account portal or by contacting our support team. Upon cancellation, your Services will remain active through the end of the current billing cycle, and you will not be charged for the following billing period. No refunds will be issued for the remaining days in the current billing cycle.

Zonitel reserves the right to immediately suspend or terminate your account and access to the Services, without prior notice, in the event of:

  • Material breach of these Terms, including violation of the Acceptable Use Policy;
  • Non-payment of fees for more than 10 days past the due date;
  • Fraudulent, abusive, or illegal use of the Services;
  • Conduct that poses a security risk to Zonitel's network, infrastructure, or other customers;
  • Violation of applicable law or regulatory requirements;
  • Receipt of a valid court order or government directive requiring termination.

Upon termination of your account for any reason, your right to access and use the Services will immediately cease. Zonitel will retain your account data for a period of 90 days following termination, after which it may be permanently deleted. During this 90-day period, you may request a copy of your data by contacting info@zonitel.com. Sections of these Terms that by their nature should survive termination (including, without limitation, Sections 11 through 16) shall survive and remain in full force and effect.

19. Governing Law

These Terms of Use and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

To the extent any Dispute is not subject to binding arbitration as set forth in Section 16, both parties irrevocably consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Harris County, Texas, and each party waives any objection to the laying of venue of any such proceedings in such courts or any claim that such proceedings have been brought in an inconvenient forum.
